Terms of Service Understanding Your Rights & Responsibilities

By creating an account, accessing, or using our Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms.

MMEvolve is a cloud-based HR management platform that provides:

• Employee management and profiling
• Leave management system
• Payroll processing
• Contract management
• Performance appraisals
• Task and ticket management
• Reporting and analytics
• And other HR-related services

We reserve the right to modify, suspend, or discontinue any part of the Service at any time.

To use our Service, you must:

• Provide accurate, current, and complete information during registration
• Maintain and update your account information
• Maintain the security of your password and account
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized use

You are responsible for all activities that occur under your account, regardless of whether you authorized such activities.

You agree not to:

• Use the Service for any illegal or unauthorized purpose
• Violate any laws in your jurisdiction
• Transmit any viruses, malware, or harmful code
• Attempt to gain unauthorized access to the Service
• Interfere with or disrupt the Service or servers
• Use automated systems to access the Service without permission
• Impersonate any person or entity
• Collect or store personal data about other users

Our Service is offered on a subscription basis:

• Subscription fees are billed in advance
• Fees are non-refundable except as required by law
• We reserve the right to change our pricing with 30 days notice
• You are responsible for all applicable taxes
• Failure to pay may result in suspension or termination of your account

All fees are stated in USD or UGX as applicable.

The Service, including its original content, features, and functionality, is owned by MME Impact Lab and is protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

You may not:

• Copy, modify, or create derivative works of the Service
• Reverse engineer or attempt to extract source code
• Remove any copyright or proprietary notices
• Use our trademarks or logos without permission

You retain all ownership rights to your data and content uploaded to the Service.

By using the Service, you grant us a worldwide, non-exclusive, royalty-free license to:

• Use, store, and process your data to provide the Service
• Back up and maintain your data
• Improve our services

You are responsible for ensuring you have the right to upload any data you provide to the Service.

We strive to maintain high availability of our Service but do not guarantee:

• Uninterrupted or error-free operation
• That the Service will meet your specific requirements
• That defects will be corrected

We may perform scheduled or emergency maintenance that may temporarily affect Service availability. We will provide reasonable notice when possible.

We may terminate or suspend your account and access to the Service immediately, without prior notice, if:

• You breach these Terms
• You fail to pay subscription fees
• You engage in fraudulent or illegal activity
• We are required to do so by law

Upon termination, your right to use the Service will immediately cease. We may delete your account and data after a reasonable retention period.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• IMPLIED WARRANTIES OF MERCHANTABILITY
• FITNESS FOR A PARTICULAR PURPOSE
• NON-INFRINGEMENT

We do not warrant that the Service will be uninterrupted, secure, or error-free.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL WE BE LIABLE FOR:

• INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
• LOSS OF PROFITS, DATA, OR USE
• BUSINESS INTERRUPTION

Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim.

You agree to indemnify, defend, and hold harmless MME Impact Lab and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any rights of another
• Your violation of any applicable laws

These Terms shall be governed by and construed in accordance with the laws of Uganda, without regard to its conflict of law provisions.

Any disputes arising from these Terms or the Service shall be resolved through:

• Good faith negotiations
• Mediation if negotiations fail
• Binding arbitration or courts of competent jurisdiction in Uganda

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days notice prior to any new terms taking effect.

What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised terms.
